“Client”: Any individual or entity who enters into a contract with Green Orb Web Design for services.
“Services”: Web design, development, images, content assistance, and related services offered by Green Orb Web Design.
“Deliverables”: The final work products provided to the Client as a result of the Services.

2.1 Scope of Work

Green Orb Web Design agrees to provide web design, development, images, and content assistance services as specified in the project proposal or contract. This includes but is not limited to website layout, graphic design, content creation, and search engine optimization (SEO) support. Any additional services requested by the Client may require additional fees and an amended agreement.

2.2 Client Responsibilities

The Client agrees to provide all necessary information and materials required for the completion of the Services in a timely manner. This includes any specific text, images, and other content that the Client wishes to include on the website. The Client is responsible for ensuring that they have the right to use any content provided to Green Orb Web Design.

2.3 Content Assistance

Green Orb Web Design offers assistance with content creation, including copywriting and selecting appropriate images. Green Orb Web Design may use stock images or create custom graphics as part of this service. The Client must approve all content and images before they are finalized.

2.4 Revisions

The project proposal or contract will specify the number of revisions included for design and content. Additional revisions may incur additional fees. Revisions should be requested in writing (including email), and Green Orb Web Design will strive to accommodate these changes promptly.

2.5 Project Timeline

Green Orb Web Design will provide an estimated timeline for the completion of the project. This timeline is subject to change based on the complexity of the project and the timely provision of necessary materials and feedback from the Client. Green Orb Web Design will communicate any changes to the timeline as soon as possible.

3.1 Fees

The Client agrees to pay the fees outlined in the project proposal or contract, which will be agreed upon before the project begins. Fees are tailored to each individual project and client.

3.2 Payment Schedule

The payment schedule will be specified in the project proposal or contract. Typically, payments are divided into installments, with an initial deposit required to commence work. The remaining payments will be scheduled at key milestones throughout the project.

3.3 Payment Method

Payments can be made via, bank transfer, PayPal, credit card etc. Specific payment instructions will be provided in the invoice.

3.4 Late Payments

Late payments may result in delays in project completion and may incur late fees. Green Orb Web Design reserves the right to halt work until all overdue payments are received.

3.5 Refunds

Due to the nature of our Services, refunds are not provided once work has commenced. If the Client wishes to terminate the project, the Client will be responsible for payment of work completed up to the termination date, based on the agreed-upon rate in the project proposal or contract.

3.6 Changes in Scope

Any changes in the project scope may affect the overall cost and timeline. Such changes will require a written agreement and may necessitate an amendment to the original contract, including adjustments to the payment terms.

4.1 Revisions

The project proposal or contract will specify the number of revisions included. Additional revisions may incur additional fees.

4.2 Approvals

The Client will be provided with opportunities to review and approve the work at various stages. Written approval (including email) is required to proceed to the next stage of the project.

5.1 Ownership

Upon full payment, the Client will own the final Deliverables. Green Orb Web Design retains the right to display the work in portfolios and marketing materials unless otherwise agreed.

5.2 Licensing

Any third-party materials (such as stock images) used in the project are subject to their respective licenses. The Client is responsible for ensuring compliance with these licenses.

6.1 Client Information

Green Orb Web Design will keep all information about the Client and their business confidential and will not disclose it to anyone outside of Green Orb Web Design without the Client’s consent, except for the purposes of completing the work, as required by law, or for promotional purposes with prior notice to the Client.

6.2 Green Orb Web Design Information

The Client must keep strictly confidential all technical know-how, specifications, inventions, processes, or initiatives of a confidential nature that Green Orb Web Design discloses. This information must not be used for any purpose other than fulfilling the Client’s obligations.

7.1 Warranties

Green Orb Web Design strives to provide high-quality, professional services. However, we cannot guarantee that our work will be entirely error-free or that it will meet all of your specific requirements. By agreeing to these terms, you acknowledge that Green Orb Web Design will not be liable for any errors or omissions in our work. We will make every reasonable effort to correct any issues you identify within 30 days of project completion.

7.2 Limitation of Liability

To the fullest extent permitted by law, Green Orb Web Design shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with our services. Our liability to you for any claim arising out of or relating to our services will be limited to the amount you have paid to Green Orb Web Design for the services in the 12 months preceding the claim.

Green Orb Web Design is not liable for any delays, errors, or losses caused by circumstances beyond our reasonable control, including but not limited to acts of government, internet or communication failures. We will not be responsible for any loss or damage arising from your failure to provide accurate or complete information, or for any issues resulting from third-party products or services integrated into our work.

By agreeing to these terms, you waive your right to hold Green Orb Web Design, its employees, agents, consultants, or subcontractors liable for any damages, losses, or claims arising from the use of our services, except to the extent that such liability is caused by our gross negligence or willful misconduct.

Either party may terminate the agreement at any time upon written notice. Upon termination, the Client will be responsible for payment of all work completed up to the termination date.

Green Orb Web Design strives to comply with current data protection laws. Any information collected about the Client or their company will not be shared with third parties without consent. Green Orb Web Design will employ reasonable efforts to safeguard the Client’s data but is not responsible for data breaches resulting from malicious acts or other unforeseen circumstances.

These terms and conditions, including all related terms linked from this website, and our relationship will be governed by Scottish Law.

Green Orb Web Design reserves the right to modify these Terms at any time. Any changes will be effective upon posting on our website. Continued use of our Services after such changes constitutes acceptance of the new Terms.
